David Chase Lopes

Managing Director, D.F. King

David joined Orient Capital in July 2010 and since his arrival his team have overseen a significant number of shareholder communication mandates.  Before joining OC, David enjoyed successful leadership positions at Salisbury Associates and Georgeson. 

David worked in investment banking from 1992 to 2005 at Deutsche Bank and Société Générale.  He holds an MA from Columbia University, completed a BA Hons from l’Institut d’Etudes Politiques de Paris and graduated Magna Cum Laude from Hamilton College. 

David is professionally qualified with the Certificate in Corporate Finance from the CISI and is an FSA-approved individual.  He is a member of France’s CLIFF (including its Corporate Governance Board), the UK IR Society, Germany’s DIRK and the ICGN. He speaks regularly on corporate governance and shareholder engagement internationally.

In 2014 David was chosen as MD to lead the proxy business of D.F. King (the new name for OC’s proxy activity).

Caroline Emmet

Senior Manager

Caroline leads the Company Matters team that supports one of our largest FTSE 350 clients with a full range of company secretarial and governance services.

She also leads our technical knowledge team to ensure our colleagues are up-to-date on current legal, regulatory and corporate governance developments for company secretaries and their clients.

Caroline has worked with many clients and projects since joining us, applying the knowledge and skills she developed during her previous career in investment banking.

Pippa O'Riley

Corporate Governance Analyst

Pippa O’Riley is a Corporate Governance Analyst at Schroders, as part of the Active Ownership team. Pippa is responsible for corporate governance analysis, engagement and voting with a regional focus on UK, Europe and Australia. Pippa has been part of the Sustainable Investment Team since January 2016.

Prior to joining Schroders, Pippa studied at Colchester Royal Grammar School. Pippa joined Schroders as part of the Investment 2020 program in 2015.

Pippa is a current student of the Chartered Governance Institute UK & Ireland.

Alia Fazal

Head of Corporate Governance

Alia is Head of Corporate Governance at BP plc where she leads a team of company secretaries in the delivery of listed plc governance.  Alia has gained experience from multiple FTSE 100 companies over nearly 20 years and has a deep understanding of what best practice represents and how this can be elevated further. 

In particular, Alia has brought governance to the forefront in relation to the critical issue of ESG as well as leading on engagement strategies across multiple stakeholders. 

Alia started her career on the graduate training programme at Ernst & Young where she qualified as a Chartered Company Secretary before moving in-house.  She has since gained experience across a range of industries having worked at Tesco, British Land and Whitbread among other companies.  Prior to bp, Alia was de facto company secretary for Balfour Beatty with responsibility for all plc and global corporate governance matters.  In addition to being a member of the legal leadership team, she was relied upon as a key advisor by the plc board of directors.  

Alia holds both a law degree and the LPC. Alia is a member of The Chartered Governance Institute’s Company Secretary's Forum, the representative body for senior members of the governance profession and also directly supports the Chair of the GC100 with various workstreams.

Darren Novak

Managing Director Head of EMEA Shareholder Engagement and M&A Capital Markets

Darren Novak is a Managing Director at J.P. Morgan’s Mergers & Acquisitions Group and heads the EMEA Shareholder Engagement and M&A Capital Markets practice.

Prior to joining J.P. Morgan, Darren was a member of the Mergers & Acquisitions Group of UBS Investment Bank where he lead UBS’s activist defence efforts globally. Prior to joining UBS Investment Bank, Darren co-led the Activist Situations Team at Houlihan Lokey. He has advised in many of the leading situations since 2010, including campaigns with respect to Bayer, BHP, CRH, CSX, Darden, Kirin, MetroPCS and NXP. Prior to Houlihan Lokey, Darren was an M&A attorney for a dozen years, most recently as a partner at Davies Ward specialising in contested situations, and before that as a Senior Associate in the M&A department of Simpson Thacher.

Darren received a JD and MBA from the University of Toronto. He graduated with distinction with a Bachelor of Commerce (Finance) from the University of Alberta.
