This training course will be delivered by Daniel Roach, a fully qualified Company Secretary with many years of governance experience across various sectors. Daniel will be assisted by Paris Condon, a Senior Consultant at Link Group Company Matters. The course content will also draw upon the combined knowledge of 50+ accomplished governance professionals working within the Company Matters team. The interactive sessions will include technical detail on ESG, practical examples and case studies to give you an in-depth knowledge of the subject and to create high quality ESG reporting that is meaningful for investors and stakeholders alike.

Completing this course will contribute to 3.5 hours of Unstructured Continuing Professional Development (CPD).

The course will focus on:

• Inspire Company Secretaries to produce best in class ESG content through the knowledge sharing and experience of their peers

1. The technical elements of ESG reporting – what you need to know.
2. The practical application of ESG reporting - what you need to do.
3. Q&A with an ESG consultant which will provide an opporunity to interact with experts on ESG reporting

Throughout the course we will present real world case study examples to help define what good ESG reporting looks like.

Technical Requirements

Mandatory Reporting - What Companies and Company Secretaries need to disclose. Identifying the existing, pending and proposed climate disclosure regulations.

Voluntary Reporting – What Companies and Company Secretaries may choose to disclose and what frameworks should they consider.

The UK Corporate Governance Code and The Companies Act – Statutory and legislative requirements relating to ESG. What are the regulatory regimes and soft law standards that Company Secretaries need to know?

TCFD - An overview of the TCFD Framework and the four thematic areas (Governance, Strategy, Risk Management, Metrics and Targets).

What does the TCFD expect from an ESG report? Implementing the TCFD guidelines:

- characteristics of effective climate-related data

- key reporting metrics

- corporate target setting

- transition planning

- reporting implementation checklist

- best practice examples

Proxy Voting – what are the main proxy voting bodies expecting from Boards around ESG reporting and disclosures.

The Future – TNFD. What are the future climate related initiatives coming down the track and how can companies prepare now?

Practical Considerations

Key Questions for the Board – what Boards should be thinking about and what we should be raising with them as Company Secretaries.

The Role and Responsibilities of the ESG Committee – emerging best practice and key considerations on establishing an ESG Committee, key responsibilities, interaction with other Committees and Board oversight.

The ‘S’ in ESG – defining what it is and how to disclose it well in corporate reporting, best practice disclosure on diversity reporting and possible future trends.

Corporate Reporting – the materiality assessment and tailoring ESG disclosures to the needs of stakeholders, best practice examples of clear, integrated reporting that is transparent, technical, applied and developmental in nature.

Interview and Q&A with an industry expert

To round the session off, we will be introducing an external ESG expert to talk about their personal experiences of working with high profile clients on their ESG Reporting with an opportunity for delegates to pose questions on burning issues.

Throughout these sessions we will look in detail at industry recognised shining examples of compelling ESG reporting and help you to build a picture of what good reporting looks like.

What are the long-term transition plans set up by successful organisations to achieve stretching ESG targets? What are the building blocks being put in place to meet ESG objectives? How are they executing their plans?

We also look at which sectors are building a reputation for strong ESG reporting.

Daniel Roach, Assistant Manager, Company Matters, part of Link Group.

Dan is an Assistant Manager who provides support and oversight to a broad range of companies, both premium listed and private, in the investment trust, real estate and retail sectors, including to a number of FTSE 250 clients.

Dan provides trusted day-to-day governance advice to his clients in addition to board meeting support, statutory and regulatory compliance and corporate reporting. He has also led project-based work including pre- and post-IPO support and has supported a large number of corporate transactions and equity raises.

Prior to joining Company Matters in 2013, Dan completed his PhD in History at the University of Exeter.

Paris Condon, Senior Consultant, Company Matters, part of Link Group.

Paris is a Senior Consultant at Company Matters and joined us this year after spending the last four years working as Legal Counsel and Company Secretary for a number of mining exploration companies listed on the Australian Stock Exchange.

Paris supports her clients by providing board and committee support, as well as advice on all areas of corporate governance, corporate reporting, regulatory developments and best practice, as well as statutory compliance.

Paris completed the Juris Doctor at the University of Sydney and holds a Bachelor of Communications (Journalism).
